Terms of Service
These Terms of Service (the “Terms”) are a binding agreement between Reflexion Interactive Technologies, Inc., a Delaware corporation with offices at 355 E Liberty Street, Suite 300, Lancaster, PA 17602, USA (“Reflexion,” “we,” “us”) and you, and govern your use of the Reflexion website located at https://reflexion.co/ and the Reflexion Store (collectively, the ”Website”); the software applications we make available for download (“Software Apps”); Reflexion hardware products (“Reflexion Products”) and our data services available through the internet made available to users of Reflexion Products or Software Apps that provide and permit the access, collection, storage, processing, analysis and/or transmission of data generated by a Reflexion Product or Software App (“Data Services”) (together, the “Reflexion Services”). By creating an account, purchasing a subscription, or using the Services, you accept these Terms. Use of the Products and Services, other than the Website, is additionally licensed under the End User License Agreement at https://reflexion.co/eula/, and our handling of personal data is described in the Privacy Policy at https://reflexion.co/privacy-policy/, each of which is incorporated into these Terms.
1. Eligibility and accounts
Accounts are created and held by an adult: you must be old enough to form a binding contract and to consent to data processing in your country (16 in the EEA and Switzerland by default; 13 in the United Kingdom, Portugal, and the United States). Individuals below that age may use the Products and Services only as users added to an account by its holder, who must be their parent or legal guardian or have the guardian’s authority, and who provides the athlete’s birth date and certifies that relationship when adding them. The account holder is responsible for the account, for everyone they add to it, and for keeping credentials confidential and account information accurate. 2. Subscriptions, billing, and cancellation
Paid plans purchased on reflexion.co are billed in advance on a recurring basis (monthly or as stated at checkout) through our billing provider, Zoho. Your subscription renews automatically until cancelled. You can cancel at any time from your account billing page at https://go.reflexion.us/billing; cancellation takes effect at the end of the current billing period. All fees already paid are non-refundable, except where a refund is required by law (for example, the EEA/UK statutory right of withdrawal where it has not been waived). We may change prices with at least 30 days’ notice, effective at your next renewal. Taxes are your responsibility where applicable. Hardware purchases, where offered, are governed by the order terms presented at purchase.
If you purchased your subscription through the Meta Horizon Store, Meta is the seller and merchant of record for that purchase. Meta collects all payment; neither Reflexion nor Zoho charges you for it. You manage, renew, and cancel that subscription in your Meta account, not on your Reflexion billing page. Price, renewal timing, free-trial length, taxes, refunds, and when a cancellation takes effect are governed by Meta’s Horizon Store terms and Meta’s refund policy, and Reflexion cannot cancel or refund a Meta purchase on your behalf. Where a free trial is offered, its length and the price and date of the first charge are stated at the point of purchase; unless you cancel before the trial ends, the subscription converts automatically to a paid, automatically renewing subscription at that price.
3. Acceptable use
You agree not to: misuse, probe, or disrupt the Products and Services or access them by any automated means; reproduce, modify, translate, adapt, decompile, disassemble, reverse engineer or create derivative works of any part of the Products and Services except where the law permits; share, resell, or transfer access outside your account’s permitted users; misrepresent your identity, age, or guardianship; upload unlawful, infringing, or harmful content; harass other users; upload content for which you do not have permission; upload or transmit viruses, malware, or other harmful code; use the Products and Services to develop a competing product; or attempt facilitate or encourage any of the foregoing. Leaderboard display names must not be offensive or impersonate others. We may investigate violations and suspend or terminate access to the Products and Services for actual or suspected breach of this Section.
4. Training content and safety
The Products and Services provide athletic training drills and performance feedback. They are not medical advice, diagnosis, or treatment, and are not a substitute for professional medical judgment. Stop using the Products and Services and consult a physician if you experience discomfort, dizziness, or injury symptoms. You are responsible for ensuring adequate physical space and conditions for VR and reaction training, and for supervising minor athletes during use.
5. Your content and performance data
You retain ownership of content you submit. You grant us a non-exclusive, worldwide, royalty-free license to host, process, and display it as needed to operate the Services (for example, showing your name and scores on leaderboards where you have that feature enabled). Our use of personal data, including training and performance data, is governed by the Privacy Policy..
6. Intellectual property
The Products and Services, including software, drills, designs, trademarks, and content we provide, are owned by Reflexion or its licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms and the EULA, no rights are transferred to you. Feedback Information, as the term is defined in the Privacy Policy, you provide may be used by us without restriction or compensation.
7. Third-party services
The Products and Services interoperate with third-party platforms (for example Meta Quest, app stores, and our billing provider). Those services have their own terms and privacy policies, which govern your use of them; we are not responsible for third-party services,and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties. The inclusion of a link to a third-party website on our Products and Services does not alone imply any endorsement of the third-party websites themselves or of those in control of them. Please review carefully the third-party’s policies and practices and make sure you understand them before you browse the website or engage in any transaction. Complaints, claims, concerns or questions regarding third-party websites, products, or services should be directed to the third-party.
8. Disclaimers
THE PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFLEXION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE PRODUCTS AND SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRAINING OUTCOMES WILL BE ACHIEVED. Some jurisdictions do not allow certain warranty exclusions; where they do not, those exclusions apply to the fullest extent permitted.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFLEXION WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL, AND OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PRODUCTS AND SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY LIABILITY THAT CANNOT BE LIMITED BY LAW. CONSUMERS IN THE EEA AND UK RETAIN ALL MANDATORY STATUTORY RIGHTS.
10. Indemnity
You will indemnify Reflexion against third-party claims arising from your breach of these Terms (including the Privacy Policy and EULA) or misuse of the Product and Services. You will defend, indemnify, and hold harmless Reflexion and its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms or the documents they incorporate by reference (including the Privacy Policy and EULA); (b) User content; or (c) your misuse of the Products and Services. This section does not apply to consumers where prohibited by law.
11. Termination
You may stop using the Services at any time. You may delete your account from the Privacy & Data screen after you have cancelled your active subscriptions. If you subscribed through the Meta Horizon Store, cancel that subscription in your Meta account first — deleting your Reflexion account does not cancel a Meta subscription and does not stop Meta from billing you. We may suspend or terminate access for material breach, unlawful use, or risk to other users, with notice where practicable. Sections that by their nature should survive termination (including 5, 6, 8, 9, 10, 12, and 13) survive.
12. Injunctive Relief
You acknowledge that any breach or threatened breach of Sections 3 and the EULA would cause Reflexion irreparable harm for which monetary damages would be inadequate. In addition to any other remedies available at law or equity, Reflexion shall be entitled to seek immediate injunctive or other equitable relief (without the posting of a bond or other security) to prevent or curtail any actual or threatened violation.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in the State of Delaware, except that consumers in the EEA or UK benefit from the protection of the mandatory consumer-law provisions, and may bring proceedings in the courts, of their country of residence. Each party waives any right to a jury trial to the extent permitted by law.
14. Changes to these Terms
We may update these Terms by posting a new version at https://reflexion.co/terms-of-service/. For material changes we will give you reasonable advance notice (for example by email or in-app notice). Continued use after the effective date constitutes acceptance; if you do not agree, cancel your subscription and stop using the Services before the changes take effect.
